This prospectus supplement supplements the prospectus dated December 9, 2022 (the Prospectus), which forms a part of our registration statement on Form S-1 (No. 333-268607). This prospectus supplement is being filed to update and supplement the information in the Prospectus with the information contained in our Current Report on Form 8-K, filed with the Securities and Exchange Commission on January 3, 2023 (the Current Report). Accordingly, we have attached the Current Report to this prospectus supplement.
The Prospectus and this prospectus supplement relate to the resale from time to time of up to 28,078,672 shares of our common stock, par value $0.0001 per share (the Common Stock), by YA II PN, Ltd., a Cayman Islands exempt limited partnership (the Selling Securityholder). The shares included in the Prospectus and this prospectus supplement consist of shares of Common Stock that we have issued or that we may, in our discretion, elect to issue and sell to the Selling Securityholder, from time to time, pursuant to a standby equity purchase agreement we entered into with the Selling Securityholder on November 17, 2022 (the Yorkville Purchase Agreement), in which the Selling Securityholder has committed to purchase from us, at our direction, up to $500,000,000 of our Common Stock, subject to terms and conditions specified in the Yorkville Purchase Agreement.
Our Common Stock is listed on the Nasdaq Capital Market under the symbol SCLX. On December 30, 2022, the last reported sales price per share of our Common Stock was $3.99.

Item 2.02. | Results of Operations and Financial Condition. |
Scilex Holding Company (the Company) is providing certain preliminary unaudited financial results for the one and twelve months ended December 31, 2022, and as of December 31, 2022, based on currently available information. The Companys independent auditor has not reviewed or audited these preliminary estimated financial results. The Companys actual results may differ materially from these preliminary financial results, and may be outside the estimated ranges. This preliminary financial data has been prepared by and is the responsibility of the Company. The Company has not fully completed its review of these preliminary financial results for the one and twelve months ended December 31, 2022, and as of December 31, 2022.
The Company estimates that: ZTlido gross sales for December 2022 were in the range of $10.0 million to $12.0 million; the gross sales for ZTlido in 2022 were in the range of $93.0 million to $98.0 million, compared to $63.9 million in 2021, representing growth in the range of 45% to 53%; net sales for 2022 were in the range of $37.0 million to $42.0 million, compared to net sales of $31.3 million in 2021, representing growth in the range of 18% to 34%; and, as of December 31, 2022, the Companys cash and cash equivalents were in the range of $1.8 million to $2.5 million, and the Companys accounts receivables were in the range of $18.0 million to $22.0 million.
